We continue our disciplined concentration on acquisition
opportunities in the infection prevention and control market. Our acquisition
program focuses on the expansion of existing platforms (reprocessing systems,
filtration and purification, and disposable products), as well as acquisitions
and other key strategic alliances which may be complimentary to, or in
fact independent of, our existing business.
Recent acquisitions by Cantel include:
- GE Water & Process Technologies’
Dialysis Business (March 2007). Cantel’s Mar Cor Purification
division acquired the #1 player in medical water equipment and consumables.
GE’s business, formerly a part of GE Osmonics, had approximately
1,800 installations in North America with revenues of approximately
$20 million. The acquisition expands Mar Cor’s water treatment
division by 50%, thereby increasing the importance of water purification
in Cantel’s infection prevention and control portfolio. By adding
this entrenched installed base of customers, Mar Cor was able to solidify
their position as the leading provider in dialysis water.
- Fluid Solutions, Inc. (May 2006). Cantel
expanded its infection prevention and control business in water purification
by purchasing certain assets of Fluid Solutions, inc., a privately held
high purity water systems manufacturer and service company based in
Lowell, Massachusetts. We have integrated Fluid Solutions into Cantel’s
Water Purification and Filtration segment. This acquisition expands
our customer base in the biotech, pharmaceutical, research, hospital,
and semiconductor markets as well as our sales presence and resin regeneration
capability in the New England area.
- Crosstex International (August 2005), based in
Hauppauge, NY, enabled Cantel to establish a sizeable foothold in single-use
infection control products, principally for the dental office market.
With over 50 years of brand equity and a diverse, high-quality product
suite, Crosstex is a true leader in its industry. Crosstex designs,
manufactures, and markets more than 60% branded products that include
patient towels, sterilization pouches, facemasks and shields, barrier
films, ejectors and evacuators, disinfectants, soaps, lotions, and sanitizers,
and cotton and gauze products.
- Saf-T-Pak Inc. (June 2004), based in Edmonton,
Canada, provided Cantel with an entry into the specialized packaging
and training industry for the safe handling and transportation of infectious
and biological specimens. As a leader in this niche industry, Saf-T-Pak
designs and manufactures a variety of unique and patented packaging
that meets or exceeds all national and international regulations. Saf-T-Pak
also offers compliance training services and materials, and specialized
thermal control products (Saf-T-Temp™) to aid in the shipping
of temperature sensitive products.
- Dyped Medical B.V. (Sept 2003), based in The Netherlands,
was acquired so as to expand Minntech's technological capabilities and
augment its endoscope reprocessing product line with a new, fully automated
reprocessor designed to be compliant with emerging European standards
and future market requirements.
- Water Treatment Entry Strategy (August 2003).
Cantel embarked on the development of a new leg of our business via
the simultaneous acquisitions of The Biolab Group (Toronto & Montreal,
Canada) and Mar Cor Services (Skippack, PA). With exceptional engineering
and manufacturing capabilities, Biolab is now our primary water treatment
equipment supplier. Cantel is leveraging Biolab's advanced equipment
into Mar Cor's service and distribution network throughout the eastern
half of the United States. Moreover, Biolab and Mar Cor leverage existing
Minntech filters and disinfectant product lines. These companies further
reinforce our commitment and strength in dialysis, while simultaneously
affording us with new opportunities in the pharmaceutical and biotechnology
markets.
- Minntech Corporation (Sept 2001), based in
Plymouth, Minnesota, further solidified our position as a leader in
infection control and medical device reprocessing. Minntech is engaged
in the development, manufacturing and marketing of disinfection/reprocessing
systems and other products for renal dialysis and flexible endoscopy
as well as filtration and separation products for medical and non-medical
applications. The Minntech acquisition has more than doubled the Company's
annual revenue at the time of acquisition.
Naturally, we can make no guarantees about acquisitions
that have not yet been made, but our strategic plan includes a program
to expand via acquisitions, as well as to grow organically at rates that
surpass industry averages.
